This article indents to comprehend the policy orientation of the corporate insolvency law reform in Myanmar. First, the present insolvency law regime guided by the Company Law is reviewed, identifying such gaps as the weaknesses of the liquidation-type procedure which has been maintained since the British colonial period, and the lack of rehabilitation-type procedure that is acceptable for the creditors’ interest of debt collection. Second, the recent draft titled “Myanmar Insolvency Bill First Draft with Explanatory Notes” introduced in 2018 by the working group at the Supreme Court of the Union is investigated so as to identify its basic stance to newly introduce the debtor-friendly rehabilitation procedures which are prioritized against the liquidation-type procedure, to follow the DIP (debtor-in-possession) model of the Federal Bankruptcy Code Chapter 11 of the U.S.A, while succeeding the old Winding Up by the Court procedure under the Company Law (1914; 2017) that has been maintained since the British era as liquidation-type procedure. Third, the “Drafts of New Insolvency Law and Rules: Legal and Judicial Cooperation Project” that was drafted in 2017 by the legal cooperation team of JICA (Japan International Cooperation Agency) is reviewed to understand its policy stance to newly introduce a workable liquidation-type procedure and also to recommend a rehabilitation-type procedure that can induce the creditors’ cooperation. A comparative study between these legal texts tells us the basic tendency of the working group of the Supreme Court of the Union 2017 to follow the World Bank’s “Principles for Effective Insolvency and Creditor/Debtor Regimes” (1999/2004/2011) which has stressed the debtor-friendly design of insolvency law influenced by the U.S. Chapter 11. In answering to the author’s question, a member of the working group referred to the need to follow the “global standard” for the purpose of perusing the economic development through the promotion of foreign investments. Chapter 11 is, however, not always the “global standards.” It has never transplanted in the UK and the former British colonial jurisdictions, nor popular in the actual corporate financial practices. The policy consideration should be directed to the encouragement of local corporate finance, as the basis of the promotion of long-term and productive foreign investments. The reform should be directed to address to the problems of immature local financial culture, where the debtors manipulate the defects in legal procedures to evade the repayment while the creditors depend heavily on the excessive mortgage, lacking any procedural means to develop a mutual trust.
